These Terms of Service ("Terms") constitute a legally binding agreement between you and WarKry Consulting Solutions, LLC, doing business as MyAIGrowthDesk ("Company," "we," "us," or "our"), governing your access to and use of the website located at https://mygrowthdesk.com and all associated products, services, software, and content (collectively, the "Services").
By accessing or using our Services, creating an account, or completing a purchase, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree to these Terms, you must not access or use our Services.
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement.

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time with reasonable notice to active subscribers.
To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.
Each subscription is for a single user account. Account sharing, reselling access, or providing credentials to third parties is prohibited unless explicitly authorized in writing by the Company.
Our Services are offered on a monthly subscription basis. Current pricing and available tiers are published on our website at https://mygrowthdesk.com. A one-time Done For You service is available; pricing is provided upon inquiry.
Monthly subscriptions are billed on a recurring monthly basis beginning on the date of your initial purchase. Your subscription will automatically renew each month unless cancelled in accordance with Section 5 of these Terms.
Certain features of the MyAIGrowthDesk platform, including SMS messaging and email sending, may incur additional usage-based costs. These costs are separate from your monthly subscription fee and are billed based on actual usage. You are responsible for all usage-based charges associated with your account.
We reserve the right to modify our subscription pricing at any time. We will provide at least 30 days advance notice of any price increases to active subscribers via email. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.
All payments are processed securely through our designated payment processor. We collect and store payment information in accordance with applicable payment card industry standards. We do not store full credit card numbers on our servers.
You may cancel your monthly subscription at any time by contacting us at [email protected] or through your account dashboard. Cancellations take effect at the end of your current billing period. You will retain access to your account and all associated features until the end of the paid period.
Upon cancellation, your account and all associated data will remain accessible for 30 days. After 30 days, your account and data may be permanently deleted. We are not responsible for any data loss following account termination.
If you cancel and later wish to reactivate, your data may no longer be available. We recommend exporting any important data before cancelling.
ALL SALES ARE FINAL
We do not offer refunds on any subscription fees, one-time payments, or service fees, regardless of the circumstances.

All content included in or made available through our Services, including but not limited to text, graphics, logos, button icons, images, audio clips, digital downloads, data compilations, email templates, workflow configurations, and software, is the property of WarKry Consulting Solutions, LLC or its content suppliers and is protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services and content solely for your own internal business purposes. This license does not include the right to reproduce, distribute, create derivative works, publicly display, or otherwise exploit our content outside of your own business use.
You may not: (a) copy, modify, or distribute our pre-built templates, sequences, or systems to third parties; (b) reverse engineer, decompile, or attempt to extract source code from our software; (c) resell or sublicense access to our Services; or (d) use our content to build competing products or services.
You retain ownership of any content, data, or intellectual property you upload or create within the Services. By uploading content to our platform, you grant us a limited license to host, display, and process that content solely as necessary to provide the Services to you.

Our Services integrate with and rely upon certain third-party services and platforms, including but not limited to GoHighLevel (platform infrastructure), Google Workspace (email), Mailgun (email delivery), Facebook (advertising), and payment processors. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the practices, content, or availability of any third-party services.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or completely secure. We do not warrant that any results obtained from the use of our Services will be accurate, reliable, or meet your expectations. Business results vary and are dependent on many factors beyond our control.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WARKRY CONSULTING SOLUTIONS, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.
Our total cumulative liability to you for any claims arising under these Terms shall not exceed the total amount paid by you to us in the 12-month period preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless WarKry Consulting Solutions, LLC, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, with proceedings conducted in Henrico County, Virginia.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and, where appropriate, by sending an email notification to active subscribers. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
